Из устава корпорации (раздел о комитетах совета директоров):

Except as otherwise provided by law, the presence of a majority of the then appointed members of a committee shall constitute a quorum for the transaction of business by that committee, and in every case where a quorum is present the affirmative vote of a majority of the members of the committee present shall be the act of the committee.

Что-то не получается переложить на нормальный русский яз., пока только так:

и в каждом случае, когда имеется кворум, наличие положительных голосов большинства присутствующих членов комитета является актом комитета...

А если серьезно, то надо расширять контекст: Решение является (считается) актом комитета, если за него проголосовало большинство присутствующих членов комитета...
