Subject: Pass-through Pre-Closing Tax Contests law Из договора купли-продажи ценных бумаг:Pass-through Pre-Closing Tax Contests. (i) Buyer, on the one hand, and Seller, on the other hand, shall promptly notify each other upon receipt by such party of written notice of any inquiries, claims, assessments, audits or similar events with respect to (A) Taxes in respect of Pass-through Income of the Company or any Subsidiary of the Company with respect to a Pre-Closing Tax Period or (B) Taxes of the Company or its Subsidiaries with respect to a Pre-Closing Tax Period or any Straddle Period for which a Buyer Indemnified Party would reasonably be expected to be indemnified under this Agreement (a “Pass through Pre-Closing Tax Contest”); provided that any failure to comply with such notice requirement shall not affect a party’s right to indemnification under this Agreement except to the extent the other party is actually materially prejudiced as a result thereof.
