Пожалуйста, помогите перевести. Выражение встречается в Уставе компании. Речь идет о голосовании на собраниях участников посредством представителя (proxy). Есть два типа этих самых proxy: closed proxy и open proxy. Может кто-то подскажет, какие это представители. Заранее спасибо.

Но вот - может, вам поможет:
A Voting Member may, by means of a written proxy, cast their vote at any General
Meeting subject to the following restrictions:
i) Any Voting Member may provide an Open Proxy to any other Voting
Member. An Open Proxy allows the proxy holder to cast any vote that a
Voting Member in attendance could otherwise cast and is only subject to
any restrictions noted by the Voting Member on the Open Proxy form. No
Voting Member may hold more than two (2) Open Proxies.
ii) A Voting Member may cast their vote by way of a Closed Proxy by voting
“yea” or “nay” to any Motion on the Closed Proxy form provided. A
Closed Proxy must be delivered in the form prescribed to the Secretary
care of the Executive Director. In order for a Closed Proxy to be valid, it
must be received by the Corporation no later than seven (7) days prior to
the meeting where the issue(s) is to be determined. Closed Proxies may
not be used in the event of an amendment to any Motion or in the event of
Motions from the floor.
