• Preliminary discussion(s) between the Bidder and Chairman
It would not be unusual for there to be a preliminary discussion(s) between the Bidder and the Chairman (see pages 7 and 10 for preliminary issues to be considered).
• Disclosure of possible offer to the other Directors of the Company

Following disclosure of possible offer to board

• Each Director of the Company to be provided with Directors Duties Memorandum (attached) in connection with the possible offer.
• Consider establishing a formal “Takeover Committee” of the Board of the Company to deal with day to day matters in connection with the possible offer.
• Identification of any relevant “concert parties” (to refresh earlier analysis discussed with UK Takeover Panel) including in relation to any employee benefit trust and/or pension scheme if relevant.
• Consideration of any conflict of interest of any Director in connection with the offer.
