Пожалуйста, помогите перевести предложение с этими терминами:

"Recoupable Theatrical Distribution Expenses" means all auditable, out-of-pocket costs, customary, reasonable and necessary costs (including, withoutlimitation, any and all withholding taxes paid by Distributor with respect to amounts paid by Distributor to Licensor pursuant to the License Agreement) directly related to the exploitation of a specific Licensed Right, exclusive of salaries and overhead, actually paid by Distributor in arms-length transactions with third parties less any discounts, credits, rebates or similar allowance including the Minimum Guarantee.
