(a) The consummation of the sale and purchase of the Cash
Shares pursuant to the terms of this Agreement (the "Cash Closing") shall take place at (i) the Zurich offices of Homburger, as soon as reasonably practicable but no later than five (5) Business Days following the satisfaction or waiver of all conditions set forth in Article VI below (other than those conditions that by their nature are to be satisfied as of the Cash Closing Date, but subject to the fulfilment or waiver of those conditions as of the Cash Closing Date) in accordance with this Agreement or (ii) atsuch other time and place as the Parties may mutually agree in writing. The date on which the Cash Closing occurs is called the "Cash Closing Date".

Насколько следует из Вашего отрывка, речь идет о купле продажи акций, часть из которых оплачивается в денежной форме, а часть обменивается на акции покупателя. Судя по всему, дата закрытия по оплачиваемым акциям отличается от даты закрытия по обмениваемым акциям. У Вас там, наверное, есть дефиниции, и такие термины как purchase right shares определены? Гадать здесь смысла нет, надо смотреть определение
