Subject: The written minutes have only the function to provide evidence
We understand that Mr. ___, the CEO of _______ at that time, was present at the meeting and agreed on the subcontract price on behalf of [X]. Thus, [X] was validly represented. Under German law neither the shareholders’ resolution nor such agreement need to be in writing, unless statutory law or the articles of association of the company require such written form. We understand that this is not the case here. By Mr. ____’s oral consent in the course of the shareholders’ meeting, [X] agreed on the subcontract price. The written minutes have only the function to provide evidence. Hence, [X]’s later refusal to sign the minutes is not of legal relevance in this context.
