...the parties agree that:

1 Company A will keep the Confidential Information confidential and will not disclose the Confidential Information to any third party
whatsoever, provided that the Confidential Information may be
disclosed by us (a) to any of our directors, officers, partners,
employees or agents (collectively, "Representatives") who need the
Confidential Information in connection with our evaluation of the
Transaction so long as such Representatives are informed of the
confidential nature of the Confidential Information and agree to
maintain its confidentiality in accordance with the terms of this
Agreement, or (b) with the Company's prior written consent.

2 We will use the Confidential Information solely in connection with
the consideration by Company A of a
possible acquisition of Company B.

3 NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN,
"Confidential Information" does not include any information that (a)
is or becomes generally available to the public other than as a result
of disclosure or actions by Company A or its Representatives in violation
of this Agreement, (b) is or becomes available to us or our
Representatives on a non-confidential basis from a source (other than
the Company or its Representatives) which we reasonably believe is not
prohibited from disclosing such information to us by a contractual,
legal or fiduciary obligation to the Company or any of its
Representatives or (c) was in our possession prior to the date of this
Agreement and was obtained on a non-confidential basis from a source
(other than the Company B or its Representatives) that we reasonably
believe was not prohibited by a contractual, legal or fiduciary
obligation to the Company B or any of its Representatives from
disclosing such information to us.

Думается, что это означает примерно следующее "Несмотря на кажущуюся противоречивость вышеуказанного нижеизложенному, на самом деле никаких противоречий нет"
Смысл такой? Или совсем не такой? и, пожалуйста, как это можно понятно сказать по-русски?

у нас встречалось нечто подобное в текстах. переводили так:

"Несмотря на иное, предусмотренное настоящим Соглашением,.."
"Вне зависимости от других положений Контракта..."
