Смысл такой, что права и обязательства учитываются с момента их возникновения (accruals basis of accounting).

Не знаю. В другом месте договора говорится:

The Seller shall, in the event that the Seller is disposing of all of the Shares held by it, cease to have rights under, and to be bound by, this Agreement upon completion of the relevant Shareholder Transfer, except for: (a) any rights and obligations accruing prior to completion;

Ну да -- права и обязанности, возникшие до [completion].

ну правильно, алекс, в первом вашем примере речь идет о тех правах и обязанностях, которые возникли у сторон до прекращения договора

и которые, соответственно, прекращением договора не пресекаются и поэтому должны быть сторонами использованы / выполнены
