Прошу подсказать по следующему вопросу. Предложение, в отношении которого возник вопрос:

Lessee has the power to enter into and perform, and has taken all necessary corporate action to authorize the entry into, performance and delivery of, each of the Operative Documents and the transactions contemplated by the Operative Documents.

Мой вариант: сторона имеет полномочия .... на заключение и исполнение.

Прошу оценить перевод, а также подсказать delivery может переводиться как вручение, performance как исполнение? Или delivery всегда -- исполнение, а performance -- заключение?

Дополнительный вопрос. Далее приводится данная формулировка:

Lessee has duly executed and delivered this Agreement, and on or before Delivery shall have duly executed and delivered each of the Operative Documents to which Lessee is a party.

Мой вариант: Lessee has duly executed and delivered -- Сторона составила и вручила

(Первый вопрос задается касательно формулировки "performance and delivery of, each of the Operative Documents", вторую часть "the transactions contemplated by the Operative Documents." прошу не рассматривать, так как, имхо, лучше перевести "на заключение и вручение каждого Оперативного документа и исполнение сделок, предусмотренных Оперативными документами".)

All authorizations, consents and registrations required by, and all notifications to be given by, Lessee in connection with the entry into, performance, validity and enforceability of, the Operative Documents and the transactions contemplated by the Operative Documents have been (or will on or before Delivery have been) obtained, effected or given (as appropriate) and are (or will on their being obtained or effected be) in full force and effect.

В данном предложении "the entry into, performance, validity and enforceability of, the Operative Documents" следует переводить как "заключение, исполнение, действительность и возможность принудительного исполнения документов", правильно?

Вот еще один пример использования данных терминов:

Мой вариант: entry into, performance and delivery - заключение, подписание и вручение.
В отношении данной формулировки возникает вопрос -- необходимо ли использовать в качестве перевода "performance" "подписание" или "совершение", а также есть ли разница между этими понятиями в данном контексте, так как я не очень понимаю, в чем разница между заключить и совершить.

Наверное, все вышеуказанные вопросы были поставлены некорректно, так как, видимо, автор использует термин в отношении "the transactions", а не documents, следовательно следует переводить "заключение, совершение/исполнение (данный термин относится к сделках) и вручение (или все же исполнение?)" либо перевести "заключение и вручение документов и совершение сделок"?
