Возникли сомнения в переводе вроде бы несложной фразы

Вот контексты (устав): Within the limits fixed by these bylaws, the number of Directors may be determined either by the vote of a majority of the entire Board of Directors or by vote of the shareholders.

Quorum: A majority of the directors at the time in office, present in person or by proxy or by communication equipment, shall constitute a quorum for the transaction of business.

vote of a majority of the entire Board of Directors: голосование большинство членов совета директоров – что здесь имеется в виду: голосование большинства членов Совета директоров, или что голосуют все члены совета директоров?
Иными словами: у нас есть 10 директоров. В одном случае могут 7 проголосовать, и если 4 проголосуют за, то решение принято.
В другом случае: у нас есть 10 директоров, и все они должны проголосовать, т.е. их большинство – это 6.

Также не уверена в разнице между by vote of the Board of Directors и by the vote of a majority of the entire Board of Directors и что здесь дает слово AFFIRMATIVE

the entire Board of Directors - дословно - все члены (весь состав) Совета директоров. Не обязательно это здесь писать.

or by vote of the shareholders - или по решению, принятому акционерами (собранием акционеров)

"по решению" или "в соответствии с решением"

Вы, наверное, не понимаете что такое кворум.
Кворум - установленное законом, уставом организации или регламентом число участников собрания (заседания), достаточное для признания данного собрания правомочным принимать решения по вопросам его повестки дня.

vote of the majority - голосование путём большинства. То есть на собрании, где есть кворум, решение принимается (или одобряется) на основании большинства голосов по определённому вопросу.

Разница в том, что в голосовании могут участвовать или только присутствующие на данном голосовании, или все директора, независимо от их нахождения.
В данном случае они говорят, что решение принимает не большинство от присутствующих (которых может оказаться 50, 60, 80% от всех директоров), а большинство от всего полного (100%) состава.

А в предложении с AFFIRMATIVE, это слово все-таки как-то влияет на смысл или имеется в виду просто, что если большинство полного состава за, то решение принимается?
