Conditions

The Seller having received from the Original Seller Parties a confirmation
(substantially in the agreed terms or such other terms as the Parties may agree in
writing) that execution of the Transaction Documents and the Co-Investor 2 SPA do
not result in any right for the Original Seller Parties to terminate any of their
obligations related to any “Transaction Document” (as defined in the Original SPA) or,
to the extent it does result in any such rights, a waiver of any such right by the Original
