Помогите, пожалуйста, уточнить значение следующих фраз:

1) Не очень понимаю, какой смысл в данном случае несет фраза in effect at the time of. Раз цены прописаны в действующем договоре, понятно, что они действующие, действительные.
Prices for Consigned Goods shall be as stated in the Supply Agreement and in effect at the time of Withdrawal from the Consignment Stock.

2) Goods that are covered under the Supply Agreement may be added to or removed from the VMOI Program upon the mutual consent of the Parties in the form of an amendment to this Agreement.
amendment - Не хочется писать «поправка», это ведь не закон, но и «изменение» не воспринимается как документ.

3)Until Withdrawn from Consignment Stock, Х, or a third party contracted by Х shall take reasonable care of the Consigned Goods on behalf of Supplier and ensure that the Consigned Goods can be readily identified as the Supplier’s property and preserved from any recourse by Х creditors or other third parties.
У меня получилось – обеспечить защиту от притязаний со стороны кредиторов Х

4)Можно ли переводить warranty как «гарантия» в следующем контексте:

In the event that any Consigned Goods are proven non-conforming on their usage by Х, they will not be considered as having been purchased in accordance with the Supply Agreement or any purchase order and Х shall have the right to return them, in full or in part, to the Supplier at no cost to Х. Subject to any notice from Х that the Consigned Goods do not conform to specification or warranty, any remaining non-conforming Consigned Goods in Consignment Stock will be promptly returned to the Supplier, at no cost to Х, and Supplier shall as soon as possible replace them with conforming Goods in identical quantities.

5)Правильно ли будет перевести disposal как удаление отходов?

Should the Expiry of Goods happen due to mismanagement of the FIFO principle by X or the third party contracted by X, the Consigned Goods will be invoiced to X and their disposal, if any, shall occur at the relevant X plant.

6)Подскажите, пожалуйста, action в данном фрагменте – это судебный процесс?

The validity, enforceability, performance and construction of the terms, provisions and conditions of this Agreement, the handling of any action arising out of or relating to this Agreement, as well as the dispute resolution procedure shall be as set forth in the Supply Agreement.

1 - Действующие на момент отзыва
2 - Напишите "дополнительное соглашение", если не нравится "внесение изменений и дополнений"
3 - Там притязания в порядке регресса, т.е. нужно, чтобы Х защитил поставщика от таких притязаний и боролся с ними сам
4 - Да, гарантия
5 - Похоже на утилизацию. Отходов там не видать, это просроченные товары.
6 - Можно написать "иск"

Утилизация в смысле переработка с целью дальнейшего использования?

В России слово "утилизация" используется в двух значениях - переработка с целью извлечения чего-то полезного и что-то типа помещения на свалку. Здесь больше похоже на какую-то переработку/разборку и т.п.

Товары в данном случае представляют собой химические вещества (в форме порошка), так что разборка точно не подходит, а насчет переработки не знаю. Вот "помещение на свалку" может и ничего. Проблема в том, что это пока не сам договор, а что-то вроде рыбы, присланной для предварительного ознакомления, так что здесь может быть не учтена конкретная специфика
