Уважаемый коллеги! Пожалуйста, помогите с переводом. Ступор наступает на этих предложениях:

1) Company cannot lawfully prevent its distributors located elsewhere from supplying Products for sale or use within the Territory but Company, to the extent that it is legally permitted to do so :a) shall not appoint any distributor in the Territory for the Products other than Distributor;etc.....
Вот это непонятно:for sale or use within the Territory but Company, to the extent that it is legally permitted to do so?

2) The price in effect as of the date of Distributor's receipt of notice of such price change shall remain applicable to all orders received by Company prior to that effective date.

3)p.1)Invoices not paid within thirty (30) days of the invoice date will have one and one half percent (1-1/2%) per month finance charge assessed against the unpaid balance from the date of invoice until the date of payment.

Черновик:

1) Компания не имеет возможности законными средствами не допустить продажи или использования Продукции на Территории другими дистрибьюторами, но, в рамках своих полномочий по закону: а) не должна назначать на данной Территории иных дистрибьюторов, кроме Дистрибьютора....

Мол, в той мере, в которой это разрешено законом, мы этого не допустить не можем, но…
