Subject: Failure of the Auction law Пожалуйста, помогите с переводом пунктов AUCTION PROCEDURE:7.2 The Auctioneer and the Winning Bidder shall execute a protocol of the results of the sale, which will have the force of an agreement for the sale of the Movable Property (or the relevant volume of it) to the Winning Bidder -
7.2 Аукционист и Победитель торгов подписывают протокол результатов продажи, который имеет силу соглашения о продаже Движимого имущества (или соответствующей части его) Победителю торгов. 7.3 The Auctioneer has the right to determine if the Auction has failed.-

8. Объявление Аукциона несостоявшимся 4) 8.1 If the Auction is declared failed in accordance with applicable laws, then the Pledgee
has the right:
(a) within 10 (ten) days from the date of declaring the first Auction failed, to acquire the Movable Property (or any volume of it offered for sale but not sold) under a sale and purchase agreement with the Pledgor at the purchase price being equal to the Starting Price at the first Auction and offset such purchase price against the amount of the Secured Obligations; or
(b) if the Pledgee omits to exercise its right referred to in (a) above, within 1 (one) month from the date of the first Auction organise a second Auction in the same manner as the first Auction with the starting price at such Auction being equal to 85% (eighty five per cent.) of the Starting Price at the first Auction (the "Second Starting Price"). 8.1 В случае объявления Аукциона несостоявшимся в соответствии действующим законодательством Залогодержатель имеет право:
(а) в течение 10 (дней) с момента объявления Аукциона несостоявшимся, приобрести Движимое имущество (или любую его часть, предложенную для продажи, но не проданную) по договору купли-продажи с Залогодателем по цене, равной Стартовой цене на первом Аукционе и зачесть цену продажи в счёт суммы Обеспеченных залогом обязательств; или (б) в том случае, если Залогодержатель не использует своё право, указанное выше в пункте (а) в течение 1 (одного) месяца с момента проведения первого Аукциона, организовать второй Аукцион таким же образом, что и первый Аукцион, со Стартовой ценой на таком Аукционе, равной 85% (восемьдесят пять процентов) Стартовой цены на первом Аукционе ("Вторая стартовая цена")
