Пожалуйста, помогите перевести сабж.

Выражение встречается в следующем контексте: агентский договор на продажу бренда одежды.

Orders must be clearly written and contain, further to the agent name, all indications about garments, prices, delivery conditions and all details about name, address and fiscal code or VAT number of the client, signed for approbation.

далее по тексту approbation вроде означает "утверждение":

Orders must always be taken with the clause "except manufacturer approbation" ; in fact manufacturer shall be free to refuse orders whose execution is impossible or particularly difficult to accept due to the late arrival of the same or for their imperfect drawing up or other reasons included the insolvency of the client.

Однако как перевести сабж, мне до сих пор не совсем понятно :(

If the manufacturer won't avail himself of the clauses of this contract, this has not to be considered as a renounce in doing it in the future and the agent has to respect them all along the charge.

что-то типа:

Если производитель не будет ссылаться на положения настоящего договора, это не должно считаться отказом от подобных действий в будущем, и агент обязан соблюдать такие положения в течение всего срока действия взятых им на себя обязательств.

попробовала воспользоваться Вашей схемой для выяснения дальнейших спорных моментов....не везде получается.
напр., выражение "chargeable with blame":

This contract can be annulled (art. 1456 cc), and agent chargeable with blame, with simply written communication from the manufacturer in case any of the following infractions would happen: (перечисление).

Настоящий договор может быть расторгнут "по вине" ИЛИ "с обвинением" агента?..
