насчет shall.
А если предложение типа:

Если ... , то.... .

Тогда как, так можно:

If .. shall (тут же не будущественность), then ... shall.

Или if ... is (should ...be, in case, etc is), then ... shall.

А можно вообще без if:
Should the seller fail to make delivery on time as stipulated in the contract, with exception of Force Majeure clauses specified in this contract, the seller agree to pay a penalty which shall be deducted by the paying bank from the payment without negotiation.

Может и так, мне так кажется, что нужно оставить present indefinitк. Данное предложение я "стибрила" из шаблона английского контракта, там так написано...

Хотя нет, 2009iscool прав, каюсь! Вот нашла уже в другом месте:
Should the Contractor fail to provide the data specified in §2, the agreement shall be suspended until the provision of the data." .И в универе нам по-моему так давали. Эх, склероз... :)
