Друзья, подскажите:

"Уступаемый договор купли-продажи" нормально звучит?

перевожу список Definitions к Facility Agreement, весь договор переводить не буду, но его текст имеется.

*Assigned Sales Contract* means a Sales Contract in relation to which the Borrower has already complied with Clauses 17.6(b)(i) and 17.6(b)(ii).

а вот текст пп. 17.6(b)(i) и 17.6(b)(ii):
(17.6 Information relating to the Commission Contract and the Sales Contracts)

(b) The Borrower shall, and shall ensure that the Trader shall, promptly supply to the Bank:
(i) a copy, certified as a true copy by an Authorised Signatory of an Obligor of
each Assigned Sales Contract and, if such Assigned Sales Contract is not in
English, an English translation of that Assigned Sales Contract that is
certified by an authorised officer of the Borrower or the Trader;

(ii) a copy, certified as a true copy by an Authorised Signatory of an Obligor of
the notice of assignment to each Buyer under each Assigned Sales Contract
in the form set out in Schedule 1 of the Security Assignment (Trader) and an
original acknowledgement by such Buyer unless the Bank is otherwise
satisfied that notice of such assignment has been given to that Buyer.

вот ещё вопросик нарисовался:

real or personal security

контекст:
Security Documents means the Security Assignments, each notice or acknowledgement served or received under and in accordance with the Security Assignments, the Withdrawal Agreements and any other **real or personal security** granted in favour of the Bank under any of the Finance Documents.

в Гугл аж целых 6 ссылок на "реальное или/* личное обеспечение", 2 - на "реальное или/* персональное обеспечение", но... меня терзают смутные сомненья (с)

прошу подсказать тех, кто в теме.
или можно написать так:
"обеспечение движимого или недвижимого имущества" ?..

Assigned Sales Contract - Договор переуступки купли-продажи;
real or personal security - залоговые права/права обеспечения на движимое или недвижимое имущество, или "залоговые права на движимость или недвижимость"

... а также любое обеспеспечение исполнения обязательств путем залога недвижимого или движимого имущества, предоставленное Банку по любому из Финансовых Документов

Встречал, как отдельно оговаривается, что уступаются rights and obligations. Лучше перестраховаться :)
