Объясните, пожалуйста, что подразумевается под этим приложением - для чего оно вообще составлено и включено в договор?
Schedule
The Trust Fund
THAT any person who is or has been concerned in the promotion, formation or management of the Company:
(a) has misapplied or retained, or become accountable for any money or other assets of the Company; or
(и) is guilty of any misfeasance or breach of any fiduciary duty in relation to the Company.
In this Schedule
(i) the words in sub-paragraphs (a) and (b):
(a) include any act or thing which is proposed or otherwise likely to be done or not done in the future which, if done or not done, would fall within sub-paragraphs (a) and (b)/
THAT the Company is engaging in a business of a type or in a manner or in circumstances contrary to a written business plan or a business or investment policy adopted by the directors of the Company by resolution.
