No Restraining Government Action. There shall not be threatened to the Bank
or pending any suit, action or proceeding by any Governmental Entity seeking
to restrain or prohibit the consummation of the Closing, entry into and/or the
performance of any of the Transaction Agreements, or seeking to obtain from
the Bank or the Purchaser any damages that are material in relation to the
Bank or the Purchaser;
