Компания имеет право уменьшить дебиторскую задолженность перед поставщиком за полученные товары на сумму всех не оплаченных Поставщиком услуг на основании подписанного сторонами протокола зачета взаморасчетов.

А если так: On the basis of Offsetting Protocol, signed by the Parties, the Company is entitled to set off the amount of services rendered by the Company and not paid by the Supplier against payments due to the Supplier for received goods. (не сильно коряво?)
