Не могу понять смысла выражения "Until the earlier to occur" в следующем предложении: Until the earlier to occur of (a) the date that we acquire a direct or indirect interest in the Companies or their businesses, and (b) the date falling three months after the date of this letter, we will indemnify you against any claims, demands, losses, liabilities and reasonable costs for any willful and direct breach of the Data Room Procedures by our representatives listed in Appendix 1 and who actually enter the Data Room.

Cмысл в том, что "мы освободим вас от ответственности по любым претензиями, требованиям, от убытков, обязательств и обоснованных расходов" ДО наступления (а) или (b), в зависимости от того, какая дата наступит ранее.
Т.е. даты а и б могут наступить независимо друг от друга, но В ЛЮБОМ ИЗ ОБОИХ СЛУЧАЕ "мы освободим вас ДО", независимо от того, которая из двух наступит первой.
