Вопрос лоерам.

Речь о праве преимущественной покупки, реализация которого кем-либо возможна только после отказа другого лица, у которого приоритет перед ним, от своего права преимущственной покупки (которое right of first refusal). Технически все понятно, но в силу недостаточности познаний в области юридической терминологии прошу помочь в определении наиболее точного аналога выражения right of second refusal на русском языке.

If one (1) or more of the Initial Offerees has, or is deemed to have, waived its right to purchase its RFR Proportion of the Offered Shares of the Affected Class, then the Initial Offerees who have accepted the Offer will have the right to purchase up to all of the Offered Shares of the Affected Class for which any of the other Initial Offerees has, or is deemed to have, waived its or their right to purchase under Section 7.3 (the “Unclaimed Offered Shares”). Such right to purchase will be exercised by giving Notice to the Offeror, the other Initial Offerees and the Company within five (5) days of the Notice provided by the Company under Section 7.3, of the number of Unclaimed Offered Shares which it intends to purchase, failing which such Initial Offeree will be deemed to have waived its right to purchase Unclaimed Offered Shares.

Right of second refusal -- название статьи. В статье дается порядок осуществления этого права. Документ -- соглашение акционеров, управляющее право -- законодательство Провинции Британская Колумбия, Канада.

Наверно, придется описательно, т.к. ГК РФ знает только преимущественное право покупки (именно так, а не "право преимущественной покупки") - статья 250:

поэтому м.б. что-то вроде "второе по очередности преимущественное право покупки"?

В моей практике был случай, когда в тексте фигурировало и rightr of first refusal, и preemptive right. В этом случае (с одобрения юриста) пришлось писать и "преимущественное право покупки", и "право первого отказа". Может быть, пойти по этому пути?

Напоминает Tag along right - иногда пишут "право следования"
