Подскажите, пожалуйста, почему work with legal counsel for в первом случае и ... to... во втором.

Как это лучше перевести?

Pursuant to their engagement under this Agreement, Deutsche Bank agrees to perform the following services (the “Services”), the Services being to:
(d) Work with legal counsel for Deutsche Bank and with legal counsel to the Company and the Issuer;

В принципе разницы никакой.
Есть, правда, два соображения:
1. "counsel for" implies primarily Deutsche Bank's (a) inhouse counsel , and, likely, (b) counsel in open court (адвокатов, trial lawyers); "councel to" implies primarly retained legal advisors to the company and the issuer; and
2. разные предлоги могут быть использованы для разграничения (for the avoidance of doubt/confusion) идентично именуемыx, но entirely different counsel.
В переводе это различие не отражается; желательно только повторить "с юристами Компании и Эмитента." Этого будет достаточно, imo.
