нужна срочно помощь в переводе 1/2 A4 текста из договора

Люди, понимаю уже поздно, но до завтра мне надо это перевести. Все сделала, кроме конфиденциальности, у меня по русски ничего не выходит,
понимаю объем не 2 предложения, но мож кто возьмется???
В качестве благодарности завтра могу на моб. тел. денежку сбросить (400 руб скажем). Помогите, пожалуйста....

** AND ** agree to establish the terms under which they shall protect proprietary or confidential information provided to them to accomplish the research project under this agreement, as folllows.

a) Confidential Information includes (without limitation) certain technical information, sales and business information, related to product plans, designs, costs, prices, finances, marketing or strategic plans, business opportunities, research, development, know-how, personal, specifications, drawings, software, data, samples, and prototypes, and all copies and derivatives containing such information (Confidential Information), provided by one party to the other party in any format or in any manner. For example, Confidential Information includes information provided with “CONFIDENTIAL” marked thereon in writing or in a machine-readable format in a case where Confidential Information is disclosed in a tangible format, and information whose confidentially is marked in writing and is notified in writing to the receiving party by the disclosing party within 10 days after disclose of Confidential Information in a case where Confidential Information is disclosed in an intangible format.

b) ** and ** shall keep Confidential Infromation, execution of this Agreement, issues raised before execution of this Agreement, and progress and result of the research project, which shall not be disclosed without the mutual consent in writing. With respect to all Confidential Information disclosed hereunder, ** and ** (** is hereinafter referred to as “ ** and **’s associate companies”) shall:

ⓐ protect Confidential Information from disclosure to third parties with at least the same degree of care (but not less than a reasonable degree of care) as they use to protect their own Confidential Information of like kind from unauthorized use or disclosure; and
ⓑ limit the access to and dissemination of Confidential Information within their organization to only those employees or agents under their direct control and supervision having a need for such information to fulfill the purpose stated herein, and who have been notified of and agree to the obligations imposed under this Agreement ; and
ⓒ use Confidential Information only for the express purpose recited above, and
ⓓ not reproduce Confidential Information or incorporate it into derivative works or notes unless necessary to fulfill the purpose stated herein.
The obligations of above Paragraph shall not apply to any information that can be proven by corroborated evidence;
ⓐ was disclosed to the public before that information is provided to ** or **;
ⓑ was known to ** or ** prior to execution of this Agreement;
ⓒ is provided to ** or ** by the third parties who have not the obligation to keep Confidential Information confidential;
ⓓ is disclosed to the public without breach of obligation under this Agreement by ** or **;
ⓔ is independently developed for ** or ** without breach of this Agreement by persons who have not had access or been exposed to the Confidential Information.

c) When the research project is terminated, but the Supply Agreement is not executed, ** and ** shall immediately return Confidential information inclduing certain technical information, sales and business information, related to product plans, designs, costs, prices, finances, marketing or strategic plans, business opportunities, research, development, know-how, personal, specifications, drawings, software, data, sampels, and prototypes , and all copies and derivatives containing such information (Confidential Information), provided by one party to the other party in any format or in any manner. ** and *** shall not use Confidential Information thereafter.
