Помогите, плиз, с переводом фраз в этих предложениях:

1. the Manager will take all reasonable steps to co-operate with ХХХ and third parties to facilitate the smooth, orderly and timely hand-over of the Services to ХХХ or any third party and (without limitation) will comply with the reasonable instructions of ХХХ as to the orderly delivery to ХХХ of all originals and copies of documents, papers, files, bank accounts and plans and computer software relating thereto or otherwise relating to the Business and which are in its possession or under its control by virtue of it being the Manager, including any correspondence or other papers received by the Manager within a period of 6 months after termination, and not seek to exercise any lien which the Manager may have in relation to such documents; and

Менеджер предпринимает все разумные меры для сотрудничества с ХХХ и третьими сторонами для обеспечения бесперебойного, надлежащего и своевременного предоставления Услуг ХХХ или какой-либо третьей стороне и (без исключения) соблюдения всех разумных указаний со стороны ХХХ относительно надлежащего предоставления ХХХ оригиналов и копий документов, служебных документов, архивов, банковских счетов, планов, а также компьютерного программного обеспечения ?????

2. For the avoidance of doubt, the parties’ compliance with their duties and obligations with respect to this Clause shall not constitute a waiver by ХХХ of any breach of any term or provision of this Agreement, gross negligence or willful misconduct committed by the Manager pursuant to which termination notice was served.

Во избежание недоразумений, выполнение сторонами своих обязательств, указанных в данном пункте ??? со стороны ХХХ какое-либо нарушение одного из условий или положений настоящего Договора, грубой небрежности или умышленных виновных действий (???) со стороны Менеджера, которые послужили причиной отправки уведомления о прекращении действия Договора.

...и не будет стремиться осуществить какое-либо право удержания, которое Менеджер может иметь в отношении таких док-тов...
2.For the avoidance of doubt - во избежание СОМНЕНИЙ (клише)
duties and obligations - своих обязанностей и обязательств (это не повтор)

Нас юристы больно бьют за опущения...
willful misconduct - по-разному дают, в т.ч. умышленное правонарушение
