HELP!

Ok, much to my disdain, I am working on a contract - ENG to RUSSIAN.
I have done most of it. It's short (thank my lucky stars!) but I need someone to look at the Russain and, there are a couple of points I have left "undone" since I am too embarassed to post them.
ANY help (as long as it's constructive:)) is going to be VERY MUCH APPRECIATED.

SERVICE AGREEMENT

AZArt, hereinafter referred to as the Seller, represented by XXX, on the one hand and, _________________, hereinafter referred to as the Purchaser, represented by _________________, on the other hand, jointly referred to as the Parties have concluded this Agreement (hereinafter – Agreement) whereby it is agreed as follows:

SUBJECT
1. The Purchaser orders and AZArt provides the Purchaser with the following services:
_________________________________________.

2. The cost of services shall be ___________ (________________). The Purchaser shall make a partial advance payment of the cost of services to be rendered by AZART. This partial payment shall not be returned upon termination, by the Purchaser, of this Agreement.

TERMS OF PAYMENT
3. Upon receipt of the partial payment indicated in point 2 of this Agreement, AZART shall, no later than _____________, provide the Purchaser with the finished product.

4. Upon receipt of the finished product, the Purchaser shall pay to AZArt the remaining sum of __________ (__________) no later than 1 day following receipt.

RIGHTS AND RESPONSIBILITIES
5. The Purchaser shall not have the right to reproduce and distribute the product provided by AZArt in any manner whatsoever. This shall not apply to the transfer of materials to the Purchaser’s employees for their use in connection with the fulfillment of employment duties if such needs may arise.

6. All preliminary design work shall remain the property of AZART should the Purchaser terminate this Agreement. Preliminary design work which has been submitted to the Purchaser for approval must be returned to AZArt within one day of termination of this Agreement. Failure to return all preliminary work will result in a fine of 100 % of the value of the work.

7. AZArt retains the right to use preliminary designs as well as, samples of completed works in future marketing materials, design competitions, or other uses.

ADDITIONAL TERMS
8. Any changes or amendments to this Agreement shall be considered valid given that they have been drawn up in writing and signed in due form by the authorized representatives of the parties.

9. All correspondence concerning the product and the needs of the Purchaser must be sent in writing.

10. This Agreement is effective as of its signing by authorized representatives of both parties.

11. This Agreement has been drawn up as two exemplars, one for each of the parties. Both exemplars shall carry equal legal validity.

ПРЕДМЕТ СОГЛАШЕНИЯ
1. Покупатель заказывает, а AZArt оказывает Покупателю нижеследующие услуги:

2. Стоимость услуг составляет ___________ (________________). Покупатель производит partial advance payment стоимости услуг AZArt. This partial payment не возвращается в случае, что Покупатель расторгнет настоящего Соглашения.

ПРОЧИЕ УСЛОВИЯ

8. Любые изменения и дополнения к настоящему Соглашению действительны, при условии, если они совершены в письменной форме и подписаны надлежащим образом уполномоченными на то представителями сторон.

9. Все корреспонденции, касающиеся проекта и/или услуг AZArt и требований Покупателя должны направляться в письменной форме.

10. Настоящее Соглашение вступает в силу с момента его подписания уполномоченными представителями сторон.

11. Настоящее Соглашение составлено в двух экземплярах, имеющих одинаковую юридическую силу, по одному экземпляру для каждой из сторон.

Покупатель осуществляет частичную авансовую оплату услуг AZArt. В случае случае, если Покупатель расторгает настоящее Соглашение, авансовый платеж не возвращается.

3. После внесения частичной оплаты, что указано в п.2 настоящего соглашения, ООО (например) "Азарт" предоставит Покупателю готовую продукцию.
4. После получения готовой продукции, Покупатель выплатит ООО "Азарт" оставшуюся сумму в размере __________ (__________) не позднее 1 дня с момента доставки продукции.
Насчет Azart - в русс. обычно пишут ООО (ЗАО или др.) а потом название компании в кавычках "". Так что уточните форму собственности.

6. Вся предварительная проектная работа остается собственностью AZART в случае, если Покупатель прервет действие соглашения. Предварительная проектная работа, представленная Покупателю на утверждение, должны быть возвращена Покупателю в течение одного дня с момента прекращения действия настоящего соглашения. В случае отказа вернуть всю предварительную работу будет выплачен штраф в размере 100% стоимости этой работы.

I have to ask... is the translation another "Batucha" or is it an improvement on previous attempts? I hope it's an improvement, but .... I can't evaluate myself so, I am asking you guys for your opinion.

Nina, I have the impression that you're working really hard on all these Russian prepositions, cases. endings, etc. There are really not so many mistakes of that sort. And that's great:))

those are small mistakes, but it's very important to observe these rules. Never mind, we're all learning.. I think, if you read my translation into English you would have corrected a lot of articles. It's one of the most difficult grammar topics for me:)))

i just never seem to remember which verb takes which case if i don't use the verb very often or if it is new to me.
other times i am just being dumb and can't think straight so i mix things up in my head. :)
i try to keep them straight but i have moments when i will say things like "ya hochy novi rubashky" because i am tired and trying to just get my meaning across. well, it's not as bad as all that (i have never said the above) but you get my point :)
