By the date of the Sale of Shares Agreement execution, the Seller’s share in the charter capital of the N limited liability company shall neither be encumbered by any third parties’ rights nor be arrested or withdrawn otherwise and N limited liability company shall have all the investor’s rights under the Contract No. 62 dd 25.10.1998 for investment project implementation on the territory of Central Administrative District (okrug) of Moscow, Presnenskoye Territorial Administration, and the Contract No. 6-1 dd 12.01.1999 for investment project implementation on the territory of Central Administrative District (okrug) of Moscow, Presnenskoye Territorial Administration.

Не надо arrested. Посмотрите вот здесь первый пост. Там, имхо, и для "изъятия из оборота" (disposal/dealing) есть вариант.
