По-моему, это так и называется "производный иск", но лучше дождаться лоеров.

то есть если акционер компани АБС подает иск против, скажем, сотрудника АБС за неправомерное деяние, это и будет shareholder derivative action. А если бы компания АБС сама подавала против этого сотрудника, тогда это уже не derivative action?

Не понимаю зачем все усложнять?
