9. Bank Disposal

9.1 The Bank shall not assign or transfer all or part of its interest under the Finance Documents other than to a person which is an Approved Institution or release the same to facilitate a refinancing by a person which is not an Approved Institution or otherwise may in accordance with the terms of this clause.

9.2 If the Bank wishes to assign or transfer whole or part of its interest in Finance Documents to a person or entity which is not an Approved Institution or release the same to facilitate any financing by a person which is not an Approved Institution then the Bank will give written notice to ХХХ of the same whereupon ХХХ shall be entitled to object on the grounds that the proposed transferee or assignee falls within any of the categories of prohibited assignee or transferee set out in Article XVI Section 2 of the Framework Agreement at any time during the period of 20 Business Days from the later of:
(a) the date of receipt of the application for consent; and
(b) date of receipt of all other information reasonably required by HIC to satisfy itself as to the identity of the transferee or assignee.
