It is hereby acknowledged by the parties to the above agreement that the exclusive worldwide recording services of the Performer have been granted to Concept Music NV which company in consideration of £1( one pound) and for good and other valuable consideration agrees to waiving such exclusive rights so that the Performer is able to enter into this agreement strictly on the basis that the rights granted to the Company thereunder are as set out and limited therein and that the Company warrants and undertakes that it shall comply with the terms of the agreement and indemnifies Concept Music NV to that effect hereunder. It is hereby acknowledged that Concept Music NV is not otherwise a direct party to the agreement; nor does it make any express or implied representations on behalf of the Performer and nor does it act in any capacity as agent, partner or representative of the Performer
