Subject: procure judgement Please, help! Совсем уже не соображаю. Надеюсь, здесь есть еще кто-нибудь.Что значит procure judgement? Довести корпорацию до суда? Или добиваться вынесения приговора в пользу корпорации? Если второе, чтогда что в этом плохого? Или это все в том смысле, что он подставляет самого себя, чтобы выиграла корпорация, и за это может получить компенсацию? The corporation may indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action or suit by or in the right of the corporation to procure a judgment in the corporation’s favor by reason of the fact that such person is or was a director, officer, employee or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise against expenses including amount paid in settlement and attorneys fees actually and reasonable incurred by such person in connection with the defense or settlement of the action or suit if such person acted in good faith and in a manner which such person reasonably believed to be in or not opposed to the best interests of the corporation. видимо, разбиение такое: 1) action or suit by the corporation 2) a party in the right of the corporation to procure a judgment in the corporation’s favor то есть, если вольно: /лицо/оказывается причастно либо к иску, возбуждаемому компанией, либо к праву компании добиваться вынесения решения в ее пользу (то есть оно /лицо/ необходимо компании, чтобы реализовать это ее право). начиная с against expenses - что возмещается |

Спасибо за подсказку. Я все же думаю, что фраза "action or suit by or in the right of the corporation" - это одно целое, потому что в она в таком же виде встречается в предыдущем абзаце, не вызывающем сомнений. The corporation may indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, except an action by or in the right of the corporation, by reason of the fact that such person is or was a director, officer, employee or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise, against expenses including attorneys fees, judgments, fines and amounts paid in settlement actually and reasonable incurred by such person in connection with the action, suit or proceeding if such person acted in good faith and in a manner which he reasonably believed to be in or not opposed to the best interests of the corporation, and, with respect to any criminal action or proceeding, had no reasonable cause to believe his conduct was unlawful. |
