If after becoming bound to transfer the Offered Shares the Transferor fails to do so, the auditors of the company (the "Auditors") may receive the purchase price and may appoint a person to execute an instrument of transfer of those Offered Shares in favour of the relevant Transferees and shall cause the name of the relevant Transferees to be entered in the register of members of the company as the holder of those Offered Shares and the Auditors shall hold the purchase price in trust for the Transferor. The receipt of the Auditors shall be a good discharge to the relevant Transferees and, after his name has been entered in the register of members of the company under this provision, the validity of the proceedings shall not be questioned by any person.

В случае, когда становится обязательным передать предложенные акции, Индоссант не выполняет свои обязательства, аудиторы компании ("Аудиторы") могут получить цену покупки и назначить физическое лицо для подписания документа о правопередаче этих предложенных акций в пользу соответствующих Индоссатов и записывают имена этих Индоссатов в реестр акционеров этой компании как держателей этих предложенных акций, и Аудиторы должны считать покупную цену в доверительном управлении для Индоссата.
