In the event of any material claim against Introducer by any Introduced Counterparty, or of the institution against Introducer or any affiliate, director, officer or employee thereof of any suit, action, investigation or proceeding by any Introduced Counterparty or by any regulatory agency, exchange or board of trade, and of every material development in any such claim, suit, action, investigation or proceeding, IFX shall withhold any portion or all of the Introducer’s security deposit or any commissions due to the Introducer to offset any settlement or legal fees incurred by IFX.
