If any Certificate is mutilated, defaced, destroyed, stolen or lost it may be replaced at the specified office of the Registrar subject to all applicable laws and stock exchange requirements (if applicable), upon payment by the claimant of such costs as may be incurred in connection therewith and on such terms as to evidence, security and indemnity or otherwise as the Registrar may reasonably require.

ИМХО: на таких условиях/при соблюдении условий в части обоснования/(документарного) подтверждения необходимости замены сертификата, выполнения требований к безопасности (защите данных?) и ограждения/освобождения Регистратора от ответственности (и сопутствующих расходов) в связи с заменой сертификата.
