supporting vote; to pass a resolution in writing

Помогите, пожалуйста, перевести supporting vote и to pass a resolution in writing. Контекст (положение о Правлении,принятие резолюции):

Decision of the Management Committee shall be adopted by a 75% majority of votes of all members provided that a resolution can only be passed with the supporting vote of the CEO.

In exceptionally urgent cases, upon the call from the CEO the MC may pass a resolution in writing. In case of voting in writing the members may cast their votes by sending it electronically to the secretary of the MC.

(есть предположение, что voting in writing - заочное голосование, так ли это?)
