Subject: Affect vs effect Добрый вечер, перевожу соглашение об оказании услуг, составленное, скорее всего, в Сингапуре. Трудность вызывает пункт об автономности положений Соглашения:Severability: If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to affect the intent of the parties, and the remainder of this Agreement shall continue in full force and effect. Не прошу помощи с переводом предложения, прошу дать совет - насколько высока вероятность того, что вместо effect в фразе "so as to affect the intent of the parties" написали affect? По мне, если читать таки effect вместо affect, все вроде становится на свои места... Спасибо заранее всем откликнувшимся. |

leka11, спасибо, я понимаю, о чем Вы. Но если исходить исключительно из логики, стороны заинтересованы именно в том, чтобы максимально воплотить в жизнь свои намерения, то есть тут просится именно effect. А вот что означает в этом контексте "повлиять на намерения сторон", я понять не могу... Ведь суть в том (насколько я понимаю), чтобы дать возможность положению сработать, но поскольку оно unenforceable, то и реализовать его получится только "в максимально допустимой степени" (to the maximum extent permissible ), при этом не забывая об интересах сторон (об intent, то есть)

OK, чтобы не вводить в заблуждение своими туманными рассуждениями, даю свой текущий вариант перевода: Автономность положений Соглашения. Если по какой-либо причине суд компетентной юрисдикции рассматривает какое-либо положение настоящего Соглашения (или его часть) как положение, не имеющее юридической силы, это положение Соглашения должно принудительно применяться в максимально допустимой степени, позволяющей осуществить намерения сторон, тогда как остальная часть настоящего Соглашения остается в полной силе. |

"при этом не забывая об интересах сторон" - вот не уверена, что речь про интересы сторон, а скорее про некие намерения, на которые надо-таки повлиять ссылок в гугле на "...so as to affect the intent of the parties" достаточно |

Я понимаю, что это стандартная контрактная оговорка, просто обычно в них говорится, что если какие-то положения рассматриваются как недействительные, то это не влияет на юридическую силу остальных положений, которые сохраняют применимость. Ранее мне не попадались такие оговорки, в которых говорилось что-либо об intent других parties. Поэтому и застрял... Однако, читаю в википедии про Сальваторскую оговорку: «Если одно из положений данных Общих условий заключения сделок становится недействительным, то это не затрагивает остальных положений. Вместо ставшего недействительным положения будет использоваться новое положение, экономический смысл которого максимально близко соответствует смыслу ставшего недействительным положения» и выделенная жирным часть как бы намекает про некий intent - впрочем, я уже начинаю испытывать чувство жалости к самому себе, ибо разбираться в этом или приводить какие-либо аргументы нет никакого желания )

Вы правы, это, похоже, перефразированная Сальв. оговорка - Should any provision of this Agreement, or any provision incorporated into this Agreement, be or in the future becomes invalid or unenforceable, the validity or enforceability of the other provisions of this Agreement shall not be affected thereby. The invalid or unenforceable provision shall be deemed to be substituted by a suitable and equitable provision which, to the extent legally permissible, comes as close as possible to the economic intent and purpose of the invalid or unenforceable provision |
