нужна небольшая помощь в переводе 2 фраз (только выделенная часть требует перевода)

1)You agree that during the term of this Agreement and for a period of twelve (12) months after the Termination Date, you will not, directly or indirectly,through an existing corporation, unincorporated business, affiliated party, successor employer, provide a commercial offer for the same services or goods and for the same project to any other party. Any breach of the above will automatically cause (company name) irremediable damages for which (company name) shall be entitled to seek compensation. Should any Third Party solicit your proposal, you shall:

a) Inform the soliciting Party that you have already quoted for the same and decline to requote

2) The Parties agree that in the event of a breach of this Agreement by any Party, damages would not be an adequate remedy or sufficient compensation and the Party which is not in breach is entitled always to injunctive relief (immediate and/or permanent) to prevent the unauthorized use of the Confidential Information. (Перевод: убытки не будут адекватным средством правовой защиты или достаточной компенсацией), но как по мне, он не имеет логического смысла.
