SECTION 1. Election and Qualifications. The Board of Directors shall elect the officers of the Corporation, which shall include a President, Chief Executive Officer and a Secretary, and may include, by election or appointment, one or more Vice-Presidents (any one or more of whom may be given an additional designation of rank or function), a Treasurer and such assistant secretaries, such Assistant Treasurers and such other officers as the Board may from time to time deem proper. Each officer shall have such powers and duties as may be prescribed by these Bylaws and as may be assigned by the Board of Directors or the President. Any two or more offices may be held by the same person except the offices of President and Secretary.

Извиняюсь за столь громоздкий контекст, но мне казалось, что это необходимо для уяснения значения "Qualifications". Из последней фразы следует, что это "ограничения".

'Qualifications' can mean just 'limitations', but in contexts such as this it's more likely to mean 'what post(s) people (must hold/must have held), and/or what (skills/experience) they must have, and/or what exams they must have passed, in order to be accepted as an officer/candidate' – as in the verb 'to qualify (for sth)' [=to be acceptable].
Example:
* 'To qualify for this post you must have worked for the company for at least five years and must have worked in the finance sector for at least 15 years'.

However, this may be implicit in the Russian 'ограничения'; I don't know.

It all depends on what follows. Do the following paragraphs refer to who can and cannot be accepted as an officer/candidate?

"ограничения" подходит, но передает ли количественные ограничения должностей, о чем речь в тексте? Ограничить ведь можно и полномочия.
Может "квоты/квотирование" лучше подойдет?

В контексте избрания или назначения на должность qualifications может значить только одно. Требования к кандидату там могут следовать, но даже если нет, это стандартное название раздела, и это именно "требования" (к кандидату).
Пример такого раздела:
(SECTION 2. Number, Qualification and Election.
... (c) Each director shall be at least 18 years of age.)
