conditional - тоже условный

Непонятно, что за settlement и к чему относится: к соответствующему Плану (а, скорее, Программе)

После выплаты Премий работникам (на определенных условиях)?

contingent - не условный, а скорее обусловленный чем-то.
settlement судя по всему относится к awards, выплата вознаграждений.
Сначала выплачивается вознаграждение, после их выплаты выпускаются новые акции.

И как же связать вместе условный с обусловленным?

Нужно смотреть, что является _conditional_ settlement - скорее всего это четкое понятие. Contingent проще, потому что это слово просто обозначает "зависящий, в зависимости от конкретных обстоятельств, определяемый ими", тут вряд ли что может быть еще.
