Subject: Прошу помочь с переводом gen. The Company had the power to enter into, perform and deliver, and had taken all necessary action to authorize its entry into, performance and delivery of the Agreements dated (LIST AGREEMENTS RELATING TO THE TRANSACTION) and the transactions contemplated there under;
The Agreements were duly and properly authorized by the Company’s board of directors, and the obligations undertaken by it hereunder are lawful, valid and binding and may be enforced against the Company in accordance with their terms.
The person or persons who signed the Agreements on the Company’s behalf were duly authorized to do so;
No litigation, arbitration or administrative proceedings or investigations of or before any court, arbitral body or agency have been started or threatened against the Company or any of its subsidiaries which has or could reasonably be expected to have a Material Adverse Effect on the Agreements;
The Company has not taken any steps against any of the parties under the Agreement or any other party named there under as regards and in relation to the Agreements.
