Any issuance of securities by Russian companies (including banks) is regulated by Russian legislation, regardless of whether these securities are offered in Russia or abroad. This will, among other things, lead to:

Given that Russian law is rather restrictive and differs greatly from U.S. law or law of European jurisdictions, certain standard concepts, structures and procedures that are commonly used abroad may not work under Russian law or may not be recognised by Russian regulators or Russian courts in the case of claims by security holders. These include, for instance, noteholders’ meetings that are authorised to change terms and conditions of the notes and waive defaults or Trustee as a holder of security for the notes. This will have implications both on the structuring and marketing of the securities.
