If the chairman of the meeting rules a resolution or an amendment to a resolution admissible or out of order, as the case may be, the proceedings of the meeting or on the resolution in question shall not be invalidated by any error in his ruling. Any ruling by the chairman of the meeting in relation to a resolution or an amendment to a resolution shall be final and conclusive, subject to any subsequent order by a court of competent jurisdiction.

Как proceedings of the meeting (процессуальный порядок/процедура собрания) может быть invalidated (например, признан недействительным)?

Я понял так:
...не может поалиять на [процессуальный порядок/процедуру собрания] и отменить конкретное решение (привести к недействительности конкретного решения).

Раздел называется Proceedings of General Meetings - т.е., там речь идет не только о ведении протокола, а о процедуре ведения собрания в целом.

алекс, proceedings - это не "процессуальный порядок/процедура собрания" (путаете с procedure)

proceedings - это в подавляющем большинстве случае сама "работа собрания", т.е. в самом широком смысле этого слова ход собрания, ну или ведение дел на собрании, или, как часто говорят по-английски юристы, i.e. the business transacted at the meeting

поэтому когда у вас в переводимом отрывке написано "proceedings of the meeting shall not be invalidated", то понимается под этим - однозначно - просто то, что результаты работы собрания (или, если хотите, "работа и решения собрания в этой части") признаны недействительными\лишены юридической силы в этой части не будут
