Subject: Что в данном случае понимается под calls? gen. Попросили тут небольшой кусочек устава индийской конторы перевести, я вот на слове calls застрял.Where capital is paid up in advance of calls upon the footing that the same shall carry interest, such capital shall not whilst carrying interest confer a right to dividend or to participate in profits. ? В предыдущем пункте про calls как-то я не углядел ничего. The profits of the Company, subject to the provisions of these Articles, shall be divisible among the members in proportion to the amount of Capital paid upon the shares held by them respectively. Provided always that any capital paid up or credited as paid up on a share during the period in respect of which a dividend is declared shall, unless the terms of issues otherwise provide, only entitle the holder of such shares to an apportioned amount of such Dividend proportional to the capital from time to time paid up during such period on such share |

Как слепить, не знаю Т.е., если денежные средства выплачиваются в соответствии с требованиями, основывающимися на том, что на акции начисляются проценты, то, хотя проценты и начисляются, это не дает право на выплату дивидендов или на участие в прибыли... |
| Capital call + стопицот. Требование о внесении капитала. Смысл такого требования в том, что акционер может подписаться на акции (и обязаться передать компании соответствующий гешефт) сегодня, а фактическая передача гешефта может случиться и завтра, и послезавтра, и на следующей неделе, и по требованию компании.... |

И еще нюанс, чтоб ветки не плодить. No dividend shall be payable except out of the profits of the year or any other undistributed profits of the Company, or otherwise than in accordance with the provisions of Section 205, 205A, 206 and 207 of the Act and no dividend shall carry interest as against the Company. Не могу понять no dividend shall carry interest as against the Company. |

| К тому, что если бы проценты начислялись, их платила бы компания, а не наоборот. |
