"1 notice" - не очень понятно; но все-таки "upon", а не "within"? поэтому, имхо, смысл такой:

резолюция, принятая на собрании держателей акций, созванном в должном порядке, с уведомлением держателей акций в письменном виде не менее чем за 21 день до собрания
