Ребят, нужно уточнить правильность двух предложений, боюсь, что ошиблась:
1) The amount of any such payment by Adesto shall be debited against distributor's merchandising amount, unless otherwise agreed to method.

Any merchandising effort undertaken by Adesto or Distributor under the terms of this Section 7 shall require the prior written consent of the other party. For any joint merchandising efforts undertaken hereunder, each party shall pay one-half of the total cost of the approved merchandising effort.
