Помогите, пожалуйста, с переводом пункта Устава:

Одобрение сделок, в совершении которых имеется заинтересованность члена Совета директоров Общества, генерального директора Общества, члена коллегиального исполнитльного органа или участника Общества, имеющего совместно с аффилированными лицами 20 и более процентов голосов от общего числа участников общества, в случаях, если сумма оплаты по сделке не превышает 2 % стоимости имущества Общеста.

Approval of transactions in which a member of Company's board of directors, General director of the Company, a member of collegial executive body or a member of the Company, who has together with affiliates 20 or more percent from the majority of company's members voted may be deemed to be interested party, in cases when the transaction sum is no more than 2% from the sum of Company's property value.

here's my humble try:
approval of a related party transaction in which a Director/a member of Company's Board of Directors, Company's General Director, a member of collegial executive body or a member of the Company, holding together with their affiliates twenty (20) or more percent of votes from the total number of the Company members, may be a related party, if the [amount or value of] consideration payable under such transaction does not exceed two percent of the Company property value.
