XXX does not want to disclose material contracts prior to signing, but is willing to allow YYYto inspect such contracts between signing and closing. This approach only works if XXX have a “diligence out” under the SPA, i.e. the right not to close the transaction if not satisfied with XXX’s contracts. Consider if the period for review of contracts (5 Business Days) needs to be extended.
