Subject: from the Contract gen. please help...hold Buyer context: Notwithstanding any other provision under this Agreement, as from the Completion Date, the Seller agrees to indemnify Buyer and hold Buyer, and upon request of Buyer, the Company directly, harmless from and compensate for all Taxes effectively and definitely imposed on or due to be paid by the Company attributable or relating to any taxable period, or portion of a taxable period, which taxable period or portion of a taxable period ends on or before the Completion Date unless such Taxes have been paid by the Company prior to the Completion Date. |
