Далее по тексту Dear Thomas» Advising ING Bank B.V. on a USS 1.3 bin syndicated pre-export facility for OJSC MMK Eurochem, supported by production subsidiary guarantees Please find enclosed a note of our professional charges in respect of the above matter for the period from 03 May 2011 to 10 August 2011 and Froriep Renggli invoice dated 9 September 2011. Please note that payment of Clifford Chance invoice is due within 30 days. The Russian legislation on value added tax provides that Russian VAT is not payable in relation to legal services where the place of economic activity of the purchaser of such services is located outside Russia. The place of supply rules are complicated and we need to consider factors including who the ultimate recipient of our services is, and whether this is a Russian legal entity, or a foreign entity with a representative office in Russia. On the basis of our evaluation of these rules, together with any prior confirmations received from you, we have not charged VAT on the attached bill. However, if, for whatever reason, the Russian tax inspectorate subsequently takes the view that Russian VAT should have been charged on this invoice, we reserve the right to require payment of Russian VAT on this invoice. |
